Terms of Service

1. Parties

These Terms of Service (the “Terms”) are a binding agreement between the user and ANKH LLC / ANKH 合同会社, which operates The Blue Brook.

The Terms govern access to and use of The Blue Brook website, application, storefront, design tools, messaging tools, scheduling tools, support services, checkout flow, and all related services (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing any card, credit pack, subscription, or other product, sending a card, receiving a card, or otherwise using the Services, the user agrees to these Terms.

If the user does not agree, the user must not use the Services.

2. Definitions

In these Terms:

  • “Account” means a registered user profile on the Services.
  • “Card” means any digital greeting card, message experience, or similar digital product made available through the Services.
  • “Creator” means an artist, illustrator, photographer, videographer, designer, studio, or other rights-holder whose work appears on or in the Services.
  • “Creator Content” means content supplied by or on behalf of a Creator, including artwork, images, video, audio, copy, titles, metadata, and related materials.
  • “Design Studio” means the user-facing tool used to personalize Cards.
  • “Order” means any purchase or requested transaction made through the Services.
  • “Recipient” means the person to whom a Card is sent or made available.
  • “Subscription” means any recurring paid plan offered through the Services.
  • “User Content” means content supplied by a user, including messages, names, recipient details, profile content, uploads, and other materials.
  • “User” means any person who accesses or uses the Services.

3. Eligibility and account registration

The Services are intended for users who are at least 16 years old, or any higher minimum age required by applicable law.

By using the Services, the user represents and warrants that the user meets the applicable age requirement and has legal capacity to enter into a binding contract.

The user must provide accurate, complete, and current information when creating an Account or placing an Order. The user must keep Account details current and must keep login credentials confidential.

The user is responsible for all activity conducted through the user’s Account, except to the extent caused by Blue Brook’s failure to use reasonable security measures for its own systems.

Blue Brook may require identity verification, age verification, payment verification, or other information at any time.

Blue Brook may refuse, suspend, or close an Account at any time where Blue Brook reasonably determines that the user has violated these Terms, provided false information, engaged in fraud, caused security risk, or used the Services unlawfully.

4. Services

Blue Brook provides a digital greeting card service that allows users to browse Creator Content, personalize Cards, schedule delivery, and send Cards to Recipients.

Blue Brook may also offer credit packs, Subscriptions, promotional offers, and other digital products or features.

Blue Brook may change, add, remove, suspend, or discontinue any feature, product, template, design option, or service component at any time, subject to applicable law and these Terms.

5. Orders, pricing, and payment

The prices of Cards, credit packs, Subscriptions, and other products are shown on the relevant product, checkout, or account page.

Unless Blue Brook states otherwise in writing, all charges are due at the time of Order.

Blue Brook may display prices in U.S. dollars or another currency supported by the Services. Taxes may apply depending on the user’s location, the nature of the transaction, and applicable law.

The user authorizes Blue Brook and its payment providers to charge the user’s selected payment method for all amounts due.

Blue Brook may use third-party payment processors.

If a payment fails or is reversed, Blue Brook may retry the charge, suspend the related Order, suspend access to paid features, or cancel the relevant transaction.

Blue Brook may correct pricing errors and may cancel or refuse any Order affected by a pricing error, technical issue, suspected fraud, unauthorized use, or legal restriction.

6. Subscriptions

If Blue Brook offers a Subscription, the Subscription renews automatically until canceled.

The billing cycle, renewal timing, included features, and price for each Subscription are shown before purchase and in the user’s Account or checkout flow.

The user may cancel a Subscription through the designated Account controls or other method Blue Brook makes available.

Cancellation takes effect at the end of the current paid billing period unless Blue Brook states otherwise.

Blue Brook does not provide a prorated refund for an unused portion of a current billing period unless required by applicable law or expressly stated otherwise.

Blue Brook may change Subscription features, limits, or pricing for future billing periods by notice as required by applicable law.

7. Credit packs and digital products

Blue Brook may sell credit packs or other prepaid digital products.

Credits have no cash value, are not legal tender, and are redeemable only within the Services unless Blue Brook states otherwise.

Credits are non-transferable unless Blue Brook expressly permits transfer.

Unused credits may expire if Blue Brook states an expiration date or if required by law and disclosed at the time of purchase.

8. Delivery of Cards

Cards are delivered digitally through the Services or by email to the Recipient address provided by the user.

The user is responsible for entering the correct Recipient details.

Blue Brook is not responsible for failed delivery caused by invalid email addresses, spam filtering, full inboxes, recipient-side settings, blocked domains, delivery delays outside Blue Brook’s control, or information supplied incorrectly by the user.

If a Card is scheduled, Blue Brook will attempt delivery at the scheduled time selected by the user, subject to system availability and technical constraints.

Blue Brook may set a minimum access period, retention period, or expiration period for Cards. Any applicable period is shown in the Services or in the purchase flow.

9. Recipient access

A Recipient may access a Card only for personal, non-commercial use, and only through the access method Blue Brook provides.

A Recipient receives no ownership interest in the Card, Creator Content, platform software, or any other intellectual property unless Blue Brook expressly states otherwise.

Blue Brook may require a Recipient to comply with these Terms or with additional access conditions shown at the time of viewing or opening the Card.

10. User Content

The user retains ownership of User Content submitted by the user, subject to the rights granted to Blue Brook under these Terms.

The user grants Blue Brook a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, store, process, modify for formatting, transmit, display, and distribute User Content solely as needed to provide the Services, complete Orders, support delivery, prevent abuse, comply with law, and improve the Services.

The user represents and warrants that the user has all rights necessary to provide User Content to Blue Brook and to grant the license described in these Terms.

The user must not submit User Content that is unlawful, defamatory, infringing, obscene, hateful, harassing, threatening, misleading, or otherwise prohibited by law or by Blue Brook policy.

11. Creator Content and intellectual property

Blue Brook, its licensors, and the relevant Creators retain all rights, title, and interest in Creator Content, the Services, the software, the Design Studio, branding, templates, and all related intellectual property, except for rights expressly granted to users under these Terms or in a separate written agreement.

The user receives only the limited license expressly granted in these Terms.

The user may not copy, download, extract, reproduce, modify, create derivative works from, distribute, resell, publicly display, publicly perform, sublicense, or commercially exploit Creator Content or any part of the Services except to the extent expressly permitted by Blue Brook.

The user may not remove or alter copyright notices, attribution notices, trademarks, or other proprietary notices.

12. Creator licenses and approvals

Blue Brook may use Creator Content under separate creator terms, licenses, or agreements.

Blue Brook may crop, resize, format, compress, localize, caption, preview, and present Creator Content in connection with the Services, provided that such use is consistent with the applicable creator license or agreement.

Where Blue Brook uses Creator Content with user personalization, such combination does not give the user any ownership right in the Creator Content and does not give the user any right to exploit the Creator Content outside the Services.

13. Acceptable use

The user must not:

  • use the Services unlawfully;
  • upload or transmit malware, spyware, bots, or harmful code;
  • interfere with the operation or security of the Services;
  • reverse engineer, scrape, crawl, or harvest the Services except to the extent permitted by applicable law;
  • use the Services for spam, bulk unsolicited messages, phishing, fraud, or impersonation;
  • use the Services to harass, threaten, or abuse any person;
  • infringe intellectual property rights or privacy rights;
  • bypass payment systems, access controls, or technical limits; or
  • use the Services in a way that Blue Brook reasonably determines is abusive, deceptive, or inconsistent with the intended purpose of the Services.

Blue Brook may set limits on uploads, sending frequency, storage, content types, file sizes, recipient counts, and other usage parameters.

14. Moderation and content removal

Blue Brook may review, screen, reject, delay, remove, disable, restrict, or refuse to publish any Order, Card, User Content, Creator Content, or Account activity.

Blue Brook may take action where Blue Brook reasonably believes the relevant material or activity violates these Terms, violates law, infringes rights, creates security risk, harms users or Creators, or otherwise conflicts with the operation or values of the Services.

Blue Brook may preserve records, report matters to authorities, cooperate with rights-holders, and take steps necessary to protect the Services and users.

Blue Brook may act without prior notice where Blue Brook reasonably considers immediate action necessary.

15. Consumer disclosures and statutory information

Blue Brook maintains a separate disclosure page for information required in connection with Japanese online sales and similar consumer disclosures.

If there is any inconsistency between these Terms and a mandatory disclosure required by applicable law, the mandatory disclosure prevails to the extent of the inconsistency.

The user should review the applicable disclosure information before placing an Order.

16. Service availability

Blue Brook does not guarantee uninterrupted or error-free operation.

Blue Brook may perform maintenance, updates, emergency repairs, security fixes, and service changes at any time.

Blue Brook may suspend or limit access to the Services for maintenance, security, technical, legal, business, or operational reasons.

17. Third-party services

The Services may integrate with or rely on third-party services, including payment processors, hosting providers, analytics providers, email providers, and support tools.

Blue Brook is not responsible for third-party services that Blue Brook does not control.

The user may be subject to the terms and privacy policies of third-party services used in connection with the Services.

18. Privacy

Blue Brook’s collection and use of personal data are described in the Privacy Policy.

The Privacy Policy forms part of these Terms.

19. Suspension and termination

The user may stop using the Services at any time.

The user may cancel an Account or Subscription through the available Account controls or support process.

Blue Brook may suspend or terminate access to the Services, an Account, a Subscription, a Card, or any related feature at any time if Blue Brook reasonably believes the user has breached these Terms, violated law, caused security or fraud risk, abused the Services, failed to pay amounts due, or exposed Blue Brook to legal or operational risk.

Blue Brook may cancel or disable scheduled Cards, restrict redemption, or withhold access where necessary to address a breach or risk.

Termination does not affect rights and obligations that by their nature survive, including payment obligations, licenses already granted for prior performance, intellectual property protections, confidentiality obligations, indemnities, limitations of liability, and dispute provisions.

20. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an as is and as available basis.

Blue Brook does not make any warranty that the Services will always be available, secure, accurate, complete, uninterrupted, or free from defects.

Blue Brook does not warrant that any Card, Creator Content, message, or design choice will produce any particular emotional, commercial, social, or practical outcome.

Nothing in these Terms excludes or limits any non-excludable consumer right or statutory warranty that applies under applicable law.

21. Limitation of liability

To the maximum extent permitted by applicable law, Blue Brook is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, loss of revenue, loss of business, loss of goodwill, or loss of data arising out of or in connection with the Services.

To the maximum extent permitted by applicable law, Blue Brook’s total aggregate liability arising out of or in connection with a specific claim or series of related claims is limited to the greater of:

  • the amount paid by the user to Blue Brook for the specific Order or Subscription giving rise to the claim in the 12 months before the event; or
  • JPY 10,000.

Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be limited.

22. Indemnity

The user will defend, indemnify, and hold harmless Blue Brook and its affiliates, officers, directors, employees, contractors, service providers, and licensors from and against third-party claims, losses, liabilities, damages, costs, and reasonable legal fees arising out of or relating to:

  • the user’s breach of these Terms;
  • the user’s User Content;
  • the user’s misuse of the Services;
  • the user’s violation of law; or
  • the user’s infringement or misappropriation of any third-party right.

This clause does not apply to the extent the relevant claim is caused by Blue Brook’s own breach, unauthorized modification, or wilful misconduct.

23. Changes to these Terms

Blue Brook may update these Terms from time to time.

Blue Brook will post the updated Terms on the Services and may also provide notice by email, in-app message, or another reasonable method if required by law or if Blue Brook considers the change material.

The updated Terms apply from the effective date stated in the updated version, except where applicable law requires a different approach.

Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

24. Governing law and jurisdiction

These Terms are governed by the laws of Japan.

The Tokyo District Court has exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless applicable law requires another forum or another mandatory consumer-rights rule applies.

25. Miscellaneous

These Terms, together with the Privacy Policy, the applicable disclosure page, any product-specific terms, and any creator-specific terms or agreements incorporated by reference, form the entire agreement between the user and Blue Brook concerning the Services.

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

Blue Brook may assign these Terms in connection with a merger, reorganization, sale of business, or transfer of assets.

The user may not assign these Terms without Blue Brook’s prior written consent.

A failure to enforce any provision is not a waiver.
